Seller Code of Conduct

The Vendor Code of Conduct describes the standards for conducting business in an ethical, lawful and responsible manner. In line with these standards, we have developed this Code of Conduct for Sellers to ensure that its Sellers adhere to the same principles.

Vendors, their employees, agents and subcontractors (collectively referred to as “Vendors”) may enter into agreements with Crealandia to do business with us or on our behalf. All Vendors must comply with this Vendor Code of Conduct or at least all applicable laws and regulations. In rare cases, such agreements may still be enforceable if Crealandia determines sufficient compensatory controls to reasonably enforce the law. Crealandia expects Sellers to have strong corporate governance to support their compliance with this Code of Conduct. Crealandia may conduct an audit of the Vendor upon reasonable notice to confirm compliance with this Code of Conduct.

Compliance with legal and regulatory requirements

Anti-Corruption: Never give or offer anything of value to obtain an improper advantage, whether in dealings with government officials or the private sector. Vendors must comply with all applicable laws and regulations, including, for example, the Anti-Corruption Act and the Bribery Act in the EC and other countries.

Antitrust laws: Do not engage in any anti-competitive practices, such as discussing or exchanging confidential competitive information or agreeing geographic markets, customers or pricing with competitors. Vendors must comply with all applicable antitrust and fair competition laws.

Trade: Comply with applicable import and export laws, act in accordance with the trade restrictions of the Office of Foreign Assets Control of the EC Ministry of Finance and any other applicable trade restrictions.

Business practices and ethics

Conflict of Interest: Avoid conflicts of interest or even the appearance of a conflict of interest. Vendors must not deal directly with any Crealandia employee whose spouse, domestic partner or other relative has an interest in the Vendor as an employee, partner, owner, investor or similar role, including negotiating a contract with the Vendor.

Gifts and hospitality: Avoid giving gifts or hospitality to Crealandia employees. When offering a gift or hospitality to a Crealandia employee, Vendors should use common sense and ensure that it complies with applicable laws and local customs.

Records Management: Accurately record, maintain and report financial and business information. Ensure compliance with all applicable laws and regulations relating to such information.

External communications: Do not speak publicly on behalf of the Crealandia unless authorized by the Crealandia’s legal department.

Risk Management. Implement internal policies, procedures and controls to identify, address and eliminate the risks outlined in this Code of Conduct and in accordance with applicable legal requirements.

Training and communication: Communicate this Code of Conduct to all employees or contractors who will do business with the Crealandia and train employees as necessary.

Labour practices

Combat harassment and unlawful discrimination: Ensure equal employment opportunities and maintain a respectful work environment free from discrimination, violence, harassment and bullying.

Human rights : Respect human rights, ensure fair working conditions and prohibit forced, compulsory or child labour.

Compensation : Provide compensation (including overtime and benefits) that is at least in compliance with local laws. Vendors should pay their employees on time and provide documentation detailing the basis for their payment (e.g. payroll).

Parental leave: Comply with all applicable laws relating to parental leave and offer gender-specific paid benefits where possible.

Freedom of association: comply with all applicable laws relating to freedom of association and collective bargaining. Do not retaliate against employees who choose to organise.

Protection of the environment

Compliance with environmental laws and regulations: Comply with all applicable laws regarding hazardous materials, air emissions, waste and effluent discharges.

Environmental Footprint: Conduct business in an environmentally responsible and sustainable manner, including: conserving energy, water and other natural resources, minimising waste and landfill waste, and reducing the use of harmful chemicals.

Data, intellectual property and asset protection

Data protection: Protect the confidential and proprietary information of the Crealandia, Crealandia employees, members and others with whom we do business. Information must not be disclosed without proper authorisation and must only be used for legitimate business purposes. Any use of the information must comply with all applicable laws, regulations and governing contracts.

Protect the intellectual property and assets of the Crealandia: responsibly protect and use the intellectual property and tangible assets of the Crealandia.  Crealandia intellectual property (including name, logo, trademarks, etc.) and tangible assets must be used for legitimate business purposes and only with permission from Crealandia.

Reporting problems

If Supplier violates this Code of Conduct, he must notify Crealandia immediately.
